ERPMantra is a product and service operated by SKK Developers Global IT Services.
These Terms apply to access to and use of ERPMantra websites, software, support and add-on services. "Customer" means the institution or business identified in an applicable order form, and "Authorised User" means a person permitted by that Customer to use the service.
1. Acceptance and authority
By signing an order form, activating an account or using the service, the Customer agrees to these Terms. A person acting for a Customer confirms that they have authority to bind that Customer. If the Customer does not agree, it must not use the service.
2. Contract documents and priority
The service is governed by the applicable signed order form or proposal, these Terms, the Privacy Policy, any service-specific terms and any data-processing terms agreed by the parties. If they conflict, the signed order form or written agreement prevails for that Customer, followed by service-specific terms and then these Terms, unless the document expressly states otherwise.
3. ERPMantra service
ERPMantra provides education and institution-management features selected in the applicable order form. Modules, limits, implementation work, support, storage, integrations and add-ons may vary by edition and order. A feature shown on the website is not included unless the applicable order or activation record includes it.
4. Customer responsibilities
- provide accurate onboarding, billing and authorised-contact information;
- control user access, roles, credentials, devices and account activity;
- use the service lawfully and only for authorised institutional purposes;
- ensure it has all notices, consents and authority required for data it provides or communications it initiates;
- review configurations, recipients, templates, reports and exports before operational use; and
- promptly report suspected unauthorised access, errors or misuse.
5. Fees, taxes and third-party charges
ERPMantra subscription, setup, support and add-on fees are payable as stated in the applicable order form. Taxes apply as legally required. Fees charged directly by a third party are separate unless the order form expressly says otherwise. Non-payment may result in restriction or suspension after any notice or cure period stated in the applicable agreement.
6. Official WhatsApp add-on
The Official WhatsApp service is a standalone, paid add-on that is disabled by default and activated only on request, after applicable ERPMantra platform fees are paid and onboarding requirements are completed. It is not automatically included in Basic, Pro, Enterprise or any other ERPMantra plan.
The Customer normally owns and controls its WhatsApp Business Account, phone number, business profile and templates. The Customer pays Meta/WhatsApp messaging and other third-party charges directly unless an order form expressly provides a different billing arrangement. The Customer authorises ERPMantra to act as its technical service provider only to the extent needed to configure and operate the requested integration.
The Customer must comply with WhatsApp Business terms and policies, maintain recipient consent and opt-out evidence, use approved templates where required, avoid prohibited content and respond to recipient requests. Meta controls account review, messaging limits, pricing, quality ratings, policy enforcement and service availability. More detail appears in the Official WhatsApp Service Terms.
7. Customer data and privacy
As between the parties, the Customer retains its rights in Customer data. The Customer permits us to host, process, transmit, back up and otherwise use Customer data only as needed to provide, secure and support the service, comply with law and enforce the agreement. Data practices are described in the Privacy Policy.
8. Confidentiality and security
Each party must use reasonable care to protect the other's confidential information and use it only for the relationship, except where disclosure is authorised or legally required. We maintain reasonable safeguards appropriate to the service. The Customer remains responsible for secure devices, credentials, permissions and instructions under its account.
9. Intellectual property
SKK Developers and its licensors retain rights in ERPMantra software, designs, documentation, trademarks and improvements. Subject to payment and these Terms, the Customer receives a limited, non-exclusive, non-transferable right for its Authorised Users to use the ordered service during the subscription term. The Customer may not reverse engineer, resell, sublicense, copy or misuse the service except where applicable law expressly permits it.
10. Acceptable use
The service must not be used to violate law or third-party rights; send spam, deceptive or unlawful messages; upload malicious code; bypass security or access controls; probe other tenants; interfere with service operation; or process data without authority. We may block affected access where reasonably needed to protect users, the service or third parties.
11. Third-party services
Integrations such as Meta/WhatsApp, hosting, payment, email or other third-party services are subject to their own terms, policies, availability and technical changes. We do not control their independent decisions. We may change or discontinue an integration when a third party changes access, policy or technology, while using reasonable efforts to notify affected Customers where practicable.
12. Availability, support and changes
Any committed uptime, support hours, response target, service credit, maintenance notice or resolution target applies only if it is stated in the Customer's applicable order form or written agreement. The current general service-level explanation is available at Service Levels. We may update the service for security, legal, reliability or functional reasons while seeking to avoid unreasonable disruption.
13. Suspension, termination and exit
Services may be suspended or terminated for material breach, non-payment, unlawful use, security risk, third-party policy action or as otherwise stated in the applicable agreement. On termination, access ends. Data export, transition support, retention and deletion are handled under the applicable order form, Privacy Policy and legal requirements. Customers should request required exports before the agreed access period expires.
14. Warranties and liability
Each party's warranties, remedies and liability are governed by the applicable signed agreement and applicable law. Unless expressly committed in that agreement, the service is provided on an as-available basis, and no uninterrupted or error-free operation is promised. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
15. Governing law and disputes
Unless the applicable signed agreement states otherwise, these Terms are governed by the laws of India. Courts with jurisdiction in Gopalganj, Bihar, India will have jurisdiction, subject to any mandatory law or agreed dispute-resolution provision.
